These Terms of Service ("Terms" or "Agreement") constitute a legally binding agreement between you ("User," "you," or "your") and Logic Fusion, LLC, a limited liability company ("Logic Fusion," "Company," "we," "us," or "our"), governing your access to and use of the MacWarden desktop application for macOS ("App" or "Software"), the website located at https://www.macwarden.com("Website"), and all related services, features, content, and functionality (collectively, the "Services").
BY DOWNLOADING, INSTALLING, ACCESSING, OR USING THE SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT DOWNLOAD, INSTALL, OR USE THE APP OR ACCESS THE WEBSITE. YOUR USE OF THE SERVICES CONSTITUTES YOUR ACCEPTANCE OF THESE TERMS AND YOUR AGREEMENT TO BE LEGALLY BOUND BY THEM.
You represent and warrant that you are at least sixteen (16) years of age and have the legal capacity to enter into this Agreement. If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
Subject to your compliance with these Terms and payment of applicable fees, Logic Fusion grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to download, install, and use the App on macOS devices that you own or control, solely for your personal or internal business purposes.
The App requires license activation using a unique license key tied to a hardware identifier derived from your Mac (a one-way SHA-256 hash generated via IOKit). Each license key may be activated on the number of devices specified in your subscription plan. Attempting to activate a license on more devices than permitted may result in suspension or termination of your license.
You agree that you will not, and will not permit any third party to:
All rights not expressly granted herein are reserved by Logic Fusion. The App is licensed, not sold. Logic Fusion retains all right, title, and interest in and to the App, including all intellectual property rights therein.
MacWarden may offer a trial period that allows you to evaluate the App before committing to a full subscription. Trial pricing, duration, and availability are subject to change at our sole discretion. Upon expiration of the trial period, your subscription will automatically convert to a paid monthly subscription unless you cancel before the trial period ends.
Following any applicable trial period, or upon your initial purchase if no trial is offered, MacWarden may be made available on a subscription basis. Available subscription plans, billing periods, and prices will be shown to you at the time of purchase. Unless canceled at least 24 hours before the end of the current billing period, your subscription will automatically renew at the end of each billing period. We may change subscription prices from time to time, but any such change will apply no earlier than the start of your next billing period. Where required, we will give you advance notice of the change.
All payments are processed by Stripe, Inc. By providing payment information, you authorize us to charge your designated payment method for the applicable fees. You are responsible for providing accurate and current payment information and for ensuring sufficient funds are available. Logic Fusion does not store your full payment card details; all payment data is handled by Stripe in accordance with PCI-DSS standards.
You may cancel your subscription at any time through your account settings or by contacting us at payments@logicfusion.net. Upon cancellation, your subscription will remain active until the end of the current billing period. No prorated refunds will be issued for partial billing periods unless otherwise specified herein.
We offer a thirty (30) day money-back guarantee from the date of your initial subscription purchase (not including the trial fee). If you are unsatisfied with the App for any reason, you may request a full refund within thirty (30) days of your first subscription payment by contacting us at payments@logicfusion.net. Refund requests made after the thirty (30) day period will be evaluated on a case-by-case basis at our sole discretion. Trial fees ($1.99) are non-refundable. Refunds will be processed to the original payment method within ten (10) business days.
All fees are exclusive of applicable taxes, levies, and duties. You are responsible for all taxes associated with your use of the Services, except for taxes based on Logic Fusion's net income.
MacWarden is a macOS utility application that accesses system files, directories, processes, and hardware information to perform its intended functions. By installing and using the App, you acknowledge and consent to the App accessing:
MacWarden may delete, remove, or modify files and application data on your Mac at your direction. You acknowledge and agree that:
The App includes security and privacy scanning features. While we endeavor to provide accurate and effective scanning, you acknowledge that no security solution can guarantee detection of all threats. The security scanning feature is provided as a supplementary measure and should not be considered a replacement for comprehensive antivirus or endpoint protection software.
All scanning, analysis, detection, and system monitoring performed by the App occurs entirely on your local device. No scanned data, file contents, scan results, system metrics, or any other locally processed information is transmitted to Logic Fusion servers or any third party. The only network communications are license activation and validation API calls.
The App, Website, and all related content, features, functionality, documentation, graphics, logos, trademarks, trade names, service marks, and trade dress are the exclusive property of Logic Fusion, LLC and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws. "MacWarden" and the MacWarden logo are trademarks of Logic Fusion, LLC.
If you provide any suggestions, ideas, feedback, or recommendations regarding the Services ("Feedback"), you hereby assign to Logic Fusion all right, title, and interest in and to such Feedback. Logic Fusion may use, reproduce, modify, and distribute such Feedback without restriction and without any obligation or compensation to you.
Logic Fusion respects the intellectual property rights of others and expects users to do the same. If you believe that any content available through the Services infringes your copyright, you may submit a notification pursuant to the Digital Millennium Copyright Act (17 U.S.C. § 512) by providing our designated copyright agent with the following information in writing:

We reserve the right to remove any content alleged to be infringing without prior notice and at our sole discretion. Repeat infringers may have their access to the Services terminated.

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, LOGIC FUSION, LLC EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO:
YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT YOUR USE OF THE SERVICES IS AT YOUR SOLE RISK. LOGIC FUSION DOES NOT WARRANT OR MAKE ANY REPRESENTATIONS REGARDING THE USE OR THE RESULTS OF THE USE OF THE SERVICES IN TERMS OF CORRECTNESS, ACCURACY, RELIABILITY, OR OTHERWISE. THE ENTIRE RISK AS TO THE QUALITY AND PERFORMANCE OF THE SERVICES IS WITH YOU.
YOU ACKNOWLEDGE THAT THE APP ACCESSES, ANALYZES, AND MAY DELETE SYSTEM FILES, APPLICATION DATA, AND OTHER CONTENT ON YOUR DEVICE. YOU ARE SOLELY RESPONSIBLE FOR MAINTAINING ADEQUATE BACKUPS OF YOUR DATA. LOGIC FUSION SHALL HAVE NO LIABILITY FOR ANY LOSS OF DATA OR DAMAGE TO YOUR SYSTEM ARISING FROM YOUR USE OF THE APP.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL LOGIC FUSION, LLC, ITS OFFICERS, DIRECTORS, MEMBERS, MANAGERS, EMPLOYEES, AGENTS, AFFILIATES, SUCCESSORS, OR ASSIGNS (COLLECTIVELY, THE "LOGIC FUSION PARTIES") BE LIABLE FOR ANY:
ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF (OR INABILITY TO USE) THE SERVICES, HOWEVER CAUSED AND REGARDLESS OF THE THEORY OF LIABILITY (WHETHER IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, WARRANTY, OR OTHERWISE), EVEN IF THE LOGIC FUSION PARTIES HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL THE TOTAL AGGREGATE LIABILITY OF THE LOGIC FUSION PARTIES FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES EXCEED THE GREATER OF: (A) THE AMOUNTS PAID BY YOU TO LOGIC FUSION IN THE SIX (6) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) FIFTY DOLLARS ($50.00 USD).
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IN SUCH JURISDICTIONS, THE LIMITATIONS AND EXCLUSIONS SET FORTH IN THIS SECTION SHALL APPLY TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW.
You agree to indemnify, defend, and hold harmless the Logic Fusion Parties from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or relating to:
Logic Fusion reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will cooperate with Logic Fusion in asserting any available defenses.

You and Logic Fusion agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Services (collectively, "Disputes") will be resolved exclusively through binding individual arbitration, rather than in court, except that either party may seek injunctive or equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights.
BY AGREEING TO THESE TERMS, YOU AND LOGIC FUSION EACH WAIVE THE RIGHT TO A TRIAL BY JURY. YOU AND LOGIC FUSION EACH WAIVE THE RIGHT TO PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, OR OTHER REPRESENTATIVE PROCEEDING. YOU AGREE THAT YOU MAY BRING CLAIMS ONLY IN YOUR INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.
Any arbitration shall be administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules then in effect, except as modified by this section. The AAA rules are available at www.adr.org. The arbitration shall be conducted by a single arbitrator. The arbitration shall be held in the state in which you reside, or at another mutually agreed location. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
If you initiate arbitration, Logic Fusion will reimburse your filing fee to the extent it exceeds the cost of filing a lawsuit in a court of general jurisdiction. Each party shall bear its own attorneys' fees and costs, unless the arbitrator determines that a claim was frivolous, in which case the arbitrator may award reasonable attorneys' fees to the prevailing party.
Before initiating arbitration, you agree to first contact us at payments@logicfusion.net and attempt to resolve the dispute informally for at least thirty (30) days. If informal resolution is not reached within thirty (30) days, either party may proceed to arbitration.
You may opt out of this arbitration provision by sending written notice to payments@logicfusion.net within thirty (30) days of first accepting these Terms. Your notice must include your name, email address, and a clear statement that you wish to opt out of the arbitration provision. If you opt out, all Disputes will be resolved exclusively in the state or federal courts located in the State of Delaware, and you consent to personal jurisdiction in such courts.
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States of America, without regard to its conflict of law provisions. To the extent that litigation is permitted under these Terms (including if you have validly opted out of arbitration), you agree to submit to the exclusive personal jurisdiction of the state and federal courts located in the State of Delaware.
MacWarden is distributed outside of the Apple Mac App Store as a direct download (.dmg disk image) from our Website. By downloading and installing the App, you acknowledge that:
You may terminate this Agreement at any time by canceling your subscription, uninstalling the App, and ceasing all use of the Services.
Logic Fusion may suspend or terminate your access to the Services, in whole or in part, at any time, with or without cause, with or without notice, at our sole discretion. Grounds for termination include, but are not limited to: violation of these Terms, fraudulent or illegal activity, non-payment of fees, or conduct that we determine to be harmful to other users, us, or third parties.
Upon termination: (a) your license to use the App is immediately revoked; (b) you must uninstall and destroy all copies of the App in your possession; (c) you will not be entitled to any refund of fees paid, except as expressly provided in Section 3.5. Sections that by their nature should survive termination shall survive, including but not limited to: Sections 2.3, 2.4, 5, 7, 8, 9, 10, 11, and 14–18.
Your use of the Services is also governed by our Privacy Policy, available at /privacy. The Privacy Policy is incorporated into these Terms by reference. By using the Services, you consent to the collection and use of information as described in the Privacy Policy.
Logic Fusion may, at its sole discretion, release updates, patches, new features, or new versions of the App. We are under no obligation to provide any updates or to continue supporting any particular version of the App or macOS. Updates may modify or remove features and functionality. Your continued use of the App after an update constitutes acceptance of such modifications. We reserve the right to discontinue the App or any part of the Services at any time without liability.
The Services may contain links to or integrate with third-party websites, services, or applications (including Stripe for payments, Supabase for data storage, and Resend for email delivery). These third-party services are not under our control, and we are not responsible for their content, privacy practices, or availability. Your use of third-party services is governed by their respective terms and privacy policies. We encourage you to review the terms and privacy policies of any third-party service you access through the Services.
You agree to comply with all applicable export and re-export control laws and regulations, including the Export Administration Regulations maintained by the U.S. Department of Commerce and sanctions programs administered by the U.S. Treasury Department's Office of Foreign Assets Control. You represent and warrant that you are not located in, or a resident or national of, any country that is subject to a U.S. Government embargo, and that you are not on any U.S. Government list of restricted or prohibited persons.
Logic Fusion shall not be liable for any failure or delay in performing its obligations under these Terms due to causes beyond its reasonable control, including but not limited to: acts of God, natural disasters, war, terrorism, pandemics, epidemics, government actions, power failures, internet or telecommunications failures, cyberattacks, labor disputes, or supply chain disruptions.
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, severed from these Terms. The invalidity or unenforceability of any provision shall not affect the validity or enforceability of the remaining provisions, which shall continue in full force and effect.
The failure of Logic Fusion to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by Logic Fusion.
These Terms, together with the Privacy Policy and any other agreements expressly incorporated by reference herein, constitute the entire agreement between you and Logic Fusion regarding the Services and supersede all prior and contemporaneous agreements, proposals, representations, warranties, and understandings, whether written or oral, relating to such subject matter.
You may not assign, delegate, or transfer these Terms or any of your rights or obligations hereunder without the prior written consent of Logic Fusion. Logic Fusion may freely assign or transfer these Terms, in whole or in part, without restriction and without your consent, including in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of its assets. Any purported assignment in violation of this section shall be null and void.
Any notices required or permitted under these Terms shall be sent to Logic Fusion at payments@logicfusion.net. We may provide notices to you via the email address associated with your account, through the App, or by posting on the Website. Notices sent by email are deemed received on the date sent.
We reserve the right to modify these Terms at any time at our sole discretion. When we make material changes, we will update the "Last Updated" date at the top of this page and, where practical, provide notice via the App or email. Your continued use of the Services after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Services and cancel your subscription.
